1. Relationship and No Guaranteed Work

GiveGo's intended U.S. field-service model is an independent-contractor marketplace. A GiveGo Mover is expected to operate an independently established business, sole proprietorship, or other lawful business form and is not authorized to bind GiveGo. GiveGo does not promise shifts, hours, minimum job volume, territory, earnings, or continued platform access. The Mover chooses when to make the Mover's business available and may accept or decline offered jobs without a requirement to accept a minimum percentage of offers, subject to lawful safety, fraud, cancellation, and service-quality rules for jobs the Mover voluntarily accepts.

The Mover may provide services to other customers, platforms, carriers, or businesses, including competitors, subject only to lawful confidentiality, safety, and conflict obligations. GiveGo does not require exclusivity. The Mover controls the ordinary means and methods of performing an accepted job while complying with the customer's agreed scope, applicable law, chain-of-custody requirements, safety standards, destination instructions, and objective service specifications.

The parties intend an independent-contractor relationship, but the actual legal classification is determined by applicable law and the real working relationship. This agreement does not waive employee rights if a worker is legally an employee and will not be used to misclassify a worker.

2. Independent Business Economics and 1099 Tax Treatment

  • The Mover is responsible for the ordinary costs of operating the Mover's business, including the vehicle or authorized vehicle access, fuel, maintenance, tolls, parking, equipment, supplies, phone, data service, licenses, registrations, insurance, taxes, and helpers unless a written job offer expressly provides a reimbursement or separate allowance.
  • The Mover may organize the business as a sole proprietor, LLC, partnership, corporation, or another lawful form and may use a business name, subject to accurate tax and banking information.
  • For U.S. tax reporting, GiveGo intends to treat eligible Movers as independent contractors and report compensation on the tax form required by law, which may include Form 1099-NEC. The Mover is responsible for federal, state, and local income and self-employment taxes unless law requires otherwise.
  • A completed Form W-9 or equivalent secure tax onboarding is required before live payouts when applicable. GiveGo should collect taxpayer identifiers through a secure tax/payment process and should not request an SSN or EIN in ordinary chat, support messages, or unsecured onboarding fields.

3. Licenses, Registrations, Authority, and Compliance

The Mover must obtain and maintain every driver's license, business registration, motor-carrier authority, household-goods authority, permit, vehicle registration, inspection, tax registration, airport/port permit, local license, or other authorization required for the services and geography accepted. The Mover must not accept a job outside those authorities.

4. Insurance and Financial Responsibility

The Mover must maintain all insurance and financial responsibility required by law and GiveGo's market standards, potentially including commercial auto, cargo or inland marine, general liability, workers' compensation or occupational accident, hired/non-owned auto, and umbrella coverage. Personal auto insurance may exclude commercial activity. The Mover must provide truthful certificates and promptly report cancellation, lapse, limitation, claim, accident, or material change.

5. Application and Ongoing Accuracy

All identity, background, license, vehicle, insurance, equipment, ownership, tax, banking, service-area, and crew information must be accurate and current. Approval based on false, borrowed, expired, altered, or misleading documentation may result in immediate suspension, nonpayment where lawful, indemnity, and referral to authorities or insurers.

6. Safety and Right to Refuse

  • Follow applicable traffic, loading, securement, lifting, vehicle, workplace, building, and hazardous-material rules.
  • Use the required crew, vehicle, tools, personal protective equipment, and safe lifting practices.
  • Stop and report unsafe access, violence, harassment, weapons, contamination, infestation, prohibited items, inaccurate inventory, inadequate equipment, or unlawful instructions.
  • Never pressure a customer to approve an unsafe or undocumented price or service change.

7. Chain of Custody and Property Integrity

The Mover must verify the listed inventory, take required condition and loading photographs, document discrepancies before taking custody, follow the authorized route and destination, protect items, obtain item-level receiving results and an authorized signature, and promptly report refusal, damage, delay, or loss.

8. Theft, Conversion, Side Deals, and Unauthorized Conduct

  • No theft, conversion, concealment, substitution, unauthorized disposal, personal use, sale, donation diversion, or retention of customer property.
  • No opening or searching drawers, containers, devices, or records except as reasonably necessary for safe handling, prohibited-item screening, or a documented customer-approved task.
  • No cash side deals, off-platform solicitation, unauthorized additional charges, kickbacks, or compensation from a receiving organization.
  • No unauthorized passengers, crew members, subcontractors, route stops, or transfers of custody.

9. Accidents, Claims, and Law Enforcement

The Mover must immediately protect safety, contact emergency services when needed, preserve evidence, report an accident, injury, theft allegation, missing item, property damage, arrest, citation, refusal, or insurance event, and cooperate truthfully with GiveGo, customers, insurers, receiving organizations, regulators, and law enforcement. Cooperation does not require waiving a legal right.

10. Confidentiality, Privacy, Photos, and Location

Customer addresses, access codes, phone numbers, photos, documents, routes, and inventory are confidential and may be used only for authorized service, safety, support, claims, and law. A Mover may not post customer property or locations publicly. Background location may be collected only during an active job as disclosed by GiveGo.

11. Earnings, Tips, Taxes, and Setoffs

The app will disclose estimated earnings and tips. The Mover is responsible for taxes and ordinary business expenses unless law or a written agreement provides otherwise. GiveGo may delay, reverse, or set off amounts only where authorized by law and agreement, such as duplicate payments, chargebacks attributable to Mover conduct, fraud, or an undisputed debt. Tips must be handled as disclosed.

12. Mover Indemnification

To the maximum extent permitted by law, the Mover will defend, indemnify, and hold harmless GiveGo from third-party claims, penalties, fines, taxes, liens, injuries, property loss, cargo claims, insurance denials, and reasonable legal fees caused by the Mover's fraud, theft, willful misconduct, negligent operation, unlicensed activity, insurance lapse, unauthorized worker, data misuse, violation of law, or breach of this agreement. This does not require indemnification for GiveGo's conduct to the extent prohibited by law.

13. Mandatory Transportation and Worker Law

Nothing in this document waives, limits, disclaims, shortens, or transfers any right, remedy, liability, insurance obligation, valuation option, claim period, disclosure, licensing requirement, or consumer protection that cannot lawfully be waived under applicable federal, state, territorial, tribal, provincial, national, or local law. If a provision conflicts with mandatory law, the mandatory law controls and the provision will be enforced only to the maximum lawful extent.

Legal review remains required

GiveGo will not rely on this draft to override mandatory carrier, consumer, worker, insurance, tax, privacy, or claims law. A market-specific counsel approval and launch record are required before live service.
